Terms of Service

1. Agreement to Terms

By accessing or using Vault Drive (vault-drive.com), operated by Sandy Labs, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service.

These terms constitute a legally binding agreement between you and Sandy Labs regarding your use of Vault Drive.

2. Description of Service

Vault Drive is a SaaS document management platform that provides:

  • Secure document storage with user-selected geographic regions
  • File sharing with granular permission controls
  • Team collaboration and workspace management
  • Version history and audit logging
  • Encryption at rest and in transit
  • One-click data export

3. Account Registration

To use Vault Drive, you must create an account. By registering, you agree that:

  • You are at least 16 years of age
  • You will provide accurate, current, and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You will notify us immediately of any unauthorized use of your account

4. Free Trial

Vault Drive offers a 7-day free trial with full Business plan features. No credit card is required to start a trial. At the end of the trial period, your account will automatically expire unless you subscribe to a paid plan. Your data will be retained for 30 days after trial expiration to give you time to subscribe or export your files.

5. Subscription & Billing

Vault Drive offers the following subscription plans, billed monthly per user:

  • Starter — $8/user/month
  • Business — $16/user/month
  • Business Plus — $28/user/month

Paddle as Merchant of Record

All payments are processed by Paddle.com, which acts as our Merchant of Record. This means Paddle is responsible for handling all billing, payment processing, sales tax, VAT, and invoicing on our behalf. When you subscribe, your financial relationship for payment purposes is with Paddle, not directly with Sandy Labs.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the applicable rate for your plan at the time of renewal.

6. Cancellation

  • You may cancel your subscription at any time from your account settings
  • Upon cancellation, you will retain access to your account and all features until the end of your current billing period
  • Before cancellation, you can export all your data using our one-click export feature
  • No partial refunds are issued for unused time in the current billing period

7. Acceptable Use

You agree not to use Vault Drive to:

  • Store, distribute, or share illegal content
  • Upload or distribute malware, viruses, or other harmful software
  • Engage in harassment, abuse, or threatening behavior
  • Send spam or unsolicited communications
  • Mine cryptocurrency or run computational workloads unrelated to document management
  • Attempt to gain unauthorized access to other users' accounts or data
  • Violate any applicable laws or regulations

8. Your Content

You retain full ownership of all files and documents you upload to Vault Drive. We do not access, sell, share, or analyze your content. We will never use your files for training AI models or any other purpose beyond providing the service.

By using Vault Drive, you grant us a limited license to store, transmit, and process your content solely for the purpose of operating and providing the service to you. This license terminates when you delete your content or close your account.

9. Intellectual Property

The Vault Drive brand, logo, website design, and underlying source code are the intellectual property of Sandy Labs. You may not copy, modify, distribute, or create derivative works of any part of the Vault Drive platform without prior written consent.

10. Data Storage & Security

  • All files are stored on Cloudflare infrastructure
  • You can select your preferred storage region during setup (Middle East, Europe, US, or Asia Pacific)
  • Files are encrypted at rest and in transit
  • We implement industry-standard security measures including access controls and audit logging

11. Service Availability

We use commercially reasonable efforts to ensure Vault Drive is available and performant. However, we do not guarantee 100% uptime. The service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unplanned outages or infrastructure issues
  • Circumstances beyond our reasonable control

12. Limitation of Liability

To the maximum extent permitted by law, Sandy Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use Vault Drive.

Our total liability for any claims arising from or relating to the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Termination

Either party may terminate this agreement at any time. We may immediately suspend or terminate your account if:

  • You violate these Terms of Service or the Acceptable Use policy
  • Your use of the service poses a security risk to other users
  • We are required to do so by law
  • Your account has been inactive for an extended period

Upon termination, you will have a 30-day grace period to export your data before it is permanently deleted.

14. Changes to Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you via email at least 30 days before the changes take effect. Your continued use of Vault Drive after the changes become effective constitutes acceptance of the updated terms.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in India.
